Terms of Service

1. Agreement to Terms

By accessing the Codesiox website (codesiox.com) or engaging Codesiox Technologies LLP for software development, legacy modernization, or AI automation consulting, you agree to be bound by these Terms of Service.

2. Engineering Engagements & Statements of Work

All commercial software engineering engagements are governed by formal, bilateral Statements of Work (SOW) or Master Services Agreements (MSA) detailing deliverables, technical specifications, acceptance criteria, milestone schedules, and payment terms.

3. Intellectual Property & Code Ownership

Unless explicitly agreed otherwise in a written contract:

• Client Ownership: Upon full milestone settlement, the client holds 100% full intellectual property ownership of bespoke source code, database architectures, and assets developed specifically for their project.
• Open Source Tools: Third-party open-source libraries incorporated into deliverables remain subject to their respective open-source licenses (e.g. MIT, Apache 2.0).

4. Warranty & Technical Support

Codesiox warrants that delivered software will conform substantially to agreed architectural specifications during the designated warranty and User Acceptance Testing (UAT) window. Ongoing maintenance, security patching, and server support are provided under separate SLA agreements.

5. Governing Law & Jurisdiction

These terms and related commercial agreements are governed by the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
